Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

These Terms of Service are a contract between you and Dare Fusion, Inc., a Delaware corporation ("Dare Fusion," "we," "us," or "our"), governing your access to and use of Kuub, including the website, web application, public profile pages, public collection pages, related subdomains, and any related products or services we make available (collectively, the "Services").

Kuub is a profile and collections network for saving, organizing, and sharing links to external creator, account, and profile pages. Kuub is not a content hosting platform for third-party creator media. The Services may include public marketing pages, authenticated product features, public discovery features, save-by-email workflows, subscription features, and related support or account tools.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Privacy Policy

Please review our Privacy Policy, which also governs your use of the Services. By using the Services, you also agree to the Privacy Policy as it may be updated from time to time.

Eligibility

You represent and warrant that you are at least 13 years old.

If you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian.

We may refuse service, suspend accounts, or change eligibility criteria at any time in our discretion. You are responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you.

The Services

Kuub allows users to save, organize, and share links to external creator, account, and profile pages. The Services may include, without limitation:

  • user accounts
  • usernames and public profiles
  • collections
  • saved links
  • public collection pages
  • public discovery surfaces
  • followed collections
  • claimed external links
  • save-by-email pending imports
  • subscription features
  • related support and administrative functions

Kuub does not control the availability, accuracy, legality, or safety of external third-party platforms or profiles linked through the Services.

User Accounts

To use certain features, you must create an account.

You agree to provide accurate information and to keep it current.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not use another person's account without permission.

You must notify us promptly of any unauthorized use of your account or other security breach.

You must select and maintain a username in accordance with our rules. You may not use a username that is misleading, infringing, offensive, vulgar, or intended to impersonate another person or entity.

We reserve the right to reclaim, change, remove, or require modification of usernames in our discretion.

Public Profiles and Collections

Each user may have a public profile associated with their username. Users may also create collections that can be private, unlisted, or public.

By making a profile, collection, note, title, image, support link, or other material public through the Services, you understand that it may be viewed, indexed, shared, copied, and discussed by other users or third parties.

You are solely responsible for what you choose to make public.

We do not guarantee any level of traffic, discovery, prominence, or distribution for public profiles or collections.

External Links and Third-Party Profiles

The Services allow users to save and organize links to third-party websites, profiles, accounts, and other external destinations ("External Links").

You understand and agree that:

  • External Links lead to third-party services that we do not own or control.
  • We do not endorse or verify all External Links.
  • We are not responsible for third-party content, availability, conduct, terms, privacy practices, or business practices.
  • If you follow an External Link, you do so at your own risk.

We may display metadata, handles, platform names, profile images, notes, titles, tags, and other information associated with External Links, whether supplied by users or derived from the linked destination. We do not guarantee that such information is accurate, current, complete, or non-infringing.

Saved Links and User-Specific Metadata

The Services may distinguish between a canonical record for an external profile and your personal saved copy of that record.

Your saved link data may include your own title, note, tags, and collection placement. You are solely responsible for the information you add.

You may not use notes, titles, tags, or collection presentation to defame, harass, impersonate, exploit, or infringe the rights of others.

Claimed Links

Certain users may be allowed to claim an External Link as associated with their identity on Kuub.

A claim does not mean that we have independently verified ownership unless we expressly indicate that the claim has been verified.

Claim statuses may include unverified, verified, rejected, inactive, or similar designations.

By submitting a claim, you represent and warrant that you have a good-faith basis to claim the linked identity and that all information and proof you submit is accurate.

We may review, reject, suspend, remove, or reassign claims in our discretion, including in response to disputes, insufficient proof, impersonation concerns, platform restrictions, or legal complaints.

We are not required to resolve any claim or dispute in any particular timeframe or manner.

Save by Email

The Services may include an email-based import feature that allows users to send candidate links into a pending review workflow.

Pending imports are not guaranteed to be accurate, complete, secure, or successfully processed.

We may parse inbound email content to identify likely candidate URLs and associated information. By using this feature, you authorize us to process those inbound messages for the purpose of identifying possible links for your review.

We may reject, ignore, delete, rate-limit, or disable inbound email submissions in our discretion.

Kuub Plus and Paid Features

Certain features may require a paid subscription, currently referred to in the product as Kuub Plus.

Paid features may include enhanced identity, presentation, claim, support-link, or customization features. Features may change over time.

We may add, remove, modify, or limit subscription features, provided that material billing changes will be handled in accordance with applicable law.

Billing and Subscriptions

If you purchase a subscription or other paid feature, you agree to pay all fees and applicable taxes disclosed at the time of purchase.

Billing may be processed by a third-party payment processor. Your use of paid features may also be subject to the payment processor's terms and privacy policy.

Subscriptions may renew automatically unless canceled before the applicable renewal date, if presented to you as auto-renewing at the time of purchase.

You authorize us and our payment processor to charge your selected payment method for recurring subscription fees and any applicable taxes.

You are responsible for keeping your billing information current.

We may suspend or terminate paid features if payment fails or your account is delinquent.

Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused subscription time, feature downgrades, or account inactivity.

Support Links and Third-Party Monetization Destinations

The Services may allow certain users to display support links to approved third-party platforms.

We do not process, guarantee, endorse, or assume responsibility for any donation, tip, purchase, membership, or other transaction that occurs on a third-party support platform.

Any support you provide through a third-party destination is solely between you and that third party.

Communications and Feedback

If you send us emails, feedback, support requests, feature suggestions, bug reports, survey responses, reviews, or similar communications, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and otherwise use those communications for the purpose of operating, supporting, improving, and promoting the Services.

This license does not apply to content that is governed separately by these Terms as your profile materials, collection materials, or other user-submitted content.

We are not obligated to respond to or act on any communication or feedback.

Your Content and Materials

As used in these Terms, "Your Content" means the information and materials that you upload, submit, publish, transmit, or otherwise make available through the Services, including without limitation:

  • profile information
  • avatar images
  • bios
  • collection titles
  • collection descriptions
  • header images
  • accent selections
  • notes
  • tags
  • support links
  • claim submissions
  • proof URLs
  • messages sent through service features
  • other text, images, links, metadata, or materials you provide

You retain ownership of Your Content, subject to the rights you grant to us under these Terms.

License You Grant to Us

By making Your Content available through the Services, you grant Dare Fusion a limited, non-exclusive, worldwide, royalty-free license to host, store, cache, process, reproduce, format, adapt, display, perform, distribute, and otherwise use Your Content solely as necessary to operate, provide, maintain, improve, moderate, secure, and promote the Services.

This includes, by way of example:

  • displaying your public profile and collections
  • rendering saved links and related metadata
  • showing notes, tags, titles, bios, and images
  • processing claim submissions and disputes
  • enabling sharing, discovery, search, and moderation
  • using service providers acting on our behalf
  • creating backups, logs, and technical copies

This license is limited to operation and promotion of the Services. Except as otherwise permitted by these Terms or authorized by you, we will not sell your content as a standalone asset.

Removal of Your Content

You may edit or remove certain Your Content through the Services. If you remove content or close your account, we will stop making the relevant content publicly available within a commercially reasonable period, subject to technical processing delays and the retention rights described below.

We may retain copies as reasonably necessary for:

  • backups and caching
  • security and fraud prevention
  • abuse prevention and investigation
  • legal compliance
  • dispute resolution
  • enforcement of these Terms
  • business recordkeeping

Your Responsibilities

You represent and warrant that:

  • you own or control all rights necessary to submit Your Content and use the Services
  • Your Content and your use of the Services do not violate any law or third-party rights
  • you will not submit false, misleading, defamatory, infringing, or unlawful material
  • you will not use the Services to impersonate another person or misrepresent affiliation, ownership, endorsement, or verification

Platform Content and Intellectual Property

The Services, excluding Your Content and third-party materials, are owned by or licensed to Dare Fusion and are protected by intellectual property laws. This includes software, design, layout, branding, logos, interface elements, graphics, text, and other materials we provide ("Platform Content").

As between you and Dare Fusion, Dare Fusion retains all right, title, and interest in and to the Platform Content.

Your use of the Services does not grant you any ownership rights in Platform Content.

You may not copy, reproduce, modify, distribute, create derivative works from, reverse engineer, scrape, republish, sell, license, or exploit Platform Content except as expressly permitted by these Terms or with our prior written consent.

Acceptable Use

You agree not to:

  • use the Services for any unlawful purpose
  • violate any applicable law, regulation, or third-party right
  • impersonate any person or entity
  • submit false or misleading claim or identity information
  • upload or transmit malicious code, viruses, or harmful material
  • scrape, crawl, spider, harvest, or extract data from the Services except as expressly permitted by us
  • interfere with the operation, security, or integrity of the Services
  • bypass access controls, rate limits, or technical protections
  • spam, abuse, harass, stalk, or threaten any person
  • publish content that is defamatory, infringing, fraudulent, obscene, or otherwise objectionable
  • use the Services to create misleading public profiles, fake collections, or deceptive association with third parties
  • use another user's personal information without appropriate rights or consent
  • frame or mirror the Services without authorization
  • use automated means to create accounts, claims, collections, or submissions at scale without our permission

Moderation and Enforcement

We may, but are not obligated to, monitor the Services and review accounts, claims, public profiles, collections, notes, links, or other materials.

We may remove content, limit visibility, suspend features, reject claims, disable imports, suspend accounts, or terminate access at any time and in our sole discretion, including if we believe conduct violates these Terms, creates risk, harms users, harms third parties, or harms our business.

We may investigate suspected violations and cooperate with law enforcement or other third parties where appropriate.

Copyright and Intellectual Property Complaints

We respect the intellectual property rights of others.

If you believe that material available through the Services infringes your copyright or other intellectual property rights, please send us a notice that includes:

  • your name and contact information
  • identification of the work or right allegedly infringed
  • identification of the allegedly infringing material and where it appears
  • a statement of your good-faith belief that the use is unauthorized
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act
  • your physical or electronic signature

We may remove or disable material in response to complaints and may terminate repeat infringers where appropriate.

If you believe your material was removed by mistake or misidentification, you may contact us with a counter-notice as permitted by applicable law.

Third-Party Services

The Services may integrate with or link to third-party websites, applications, email services, payment processors, hosting providers, analytics providers, or other services.

We are not responsible for third-party services or their availability, accuracy, content, policies, or actions.

Your use of third-party services may be subject to separate terms and privacy policies between you and those providers.

Termination

You may stop using the Services at any time.

We may suspend or terminate your access to all or any part of the Services at any time, with or without notice, for any reason or no reason, subject to applicable law.

Upon termination, your right to use the Services will immediately cease. Public materials associated with your account may be removed or disabled, subject to our retention rights and technical limitations.

Sections of these Terms that by their nature should survive termination will survive, including without limitation sections relating to licenses, billing obligations, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and enforcement.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARE FUSION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, LINK, CLAIM STATUS, PROFILE DATA, DISCOVERY RESULT, OR THIRD-PARTY DESTINATION WILL BE ACCURATE, COMPLETE, OR RELIABLE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARE FUSION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARE FUSION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO DARE FUSION FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
  • US $100

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Dare Fusion and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Services
  • Your Content
  • your violation of these Terms
  • your violation of applicable law
  • your violation of any third-party right
  • your claim submissions, disputes, or representations of identity or ownership

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Utah, without regard to conflict of laws principles, except to the extent preempted by federal law.

Arbitration

Please read this section carefully. It affects your legal rights.

You and Dare Fusion agree that, except for matters that may be brought in small claims court or claims for injunctive or equitable relief relating to intellectual property or unauthorized access, all disputes, claims, or controversies arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration.

You and Dare Fusion waive any right to a jury trial and waive any right to participate in a class action, class arbitration, or representative proceeding.

The arbitration will be administered by the American Arbitration Association under its applicable rules, unless the parties agree otherwise. If the designated arbitration provider is unavailable, a substitute provider may be selected by Dare Fusion.

Any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

If the class action waiver is found unenforceable as to any claim, then that claim must proceed in court and not in arbitration.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any claim arising out of or relating to the Services or these Terms must be filed within one year after the claim arose, unless a longer period is required by applicable law.

Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Services, by email, or by other reasonable means. The updated Terms will become effective on the stated effective date.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Electronic Communications

You agree to receive communications from us electronically, including emails, notices, transactional messages, and service-related communications. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
